Operator Agreement

Terms and conditions for Dropzon agents and branch operators.

1. Parties

This Operator Agreement ("Agreement") is between Hernatter Limited ("Dropzon," "we," or "us"), a company registered in Dar es Salaam, Tanzania, and the individual or business entity ("Operator," "you," or "your") who registers to operate a Dropzon location as an agent or branch.

By completing the operator registration process and being approved on the Dropzon platform, you agree to be bound by this Agreement in addition to the general Terms of Service.

2. Operator Types

2.1 Agent

An agent is a local business (kiosk, shop, gas station, pharmacy, or similar public-facing establishment) that registers as a Dropzon location. Agents receive and hold packages for local DZ Address holders and earn per package handled.

2.2 Branch

A branch is a full-service Dropzon location operated by or on behalf of Dropzon through DoorDrop. Branches can do everything an agent does, plus accept packages for sending, provide packaging services, process insurance, and offer walk-in customer support. Branches are subject to additional operational requirements.

3. Registration and Approval

To become an approved Dropzon operator, you must:

  • Complete the operator registration form with accurate business and personal information
  • Provide a valid business license or permit (where applicable by local law)
  • Provide valid government-issued identification
  • Have a physical location accessible to the public during stated business hours
  • Pass our verification and approval process

We reserve the right to reject any application at our sole discretion. Approval does not create an employment relationship - you are an independent operator.

4. Operator Obligations

4.1 Package Handling

  • Receive and safely store all packages addressed to DZ Address holders at your location
  • Store packages in a secure, dry, and accessible area
  • Hand over packages only after verifying recipient identity using DZ# code, QR code scan, or OTP verification through the platform
  • Never open, tamper with, or inspect the contents of any package
  • Report damaged or suspicious packages to Dropzon immediately
  • Maintain a package log as required by the platform

4.2 Business Hours

You must maintain consistent, published business hours and update them on the platform. Customers rely on your availability to collect packages. Repeated closures without notice may result in suspension or termination.

4.3 Customer Interaction

  • Treat all customers with respect and professionalism
  • Assist walk-in customers with registration if they are new to Dropzon
  • Never charge customers any fees beyond what is shown on the platform
  • Do not solicit personal information beyond what the platform requires for verification

4.4 Platform Usage

  • Use the Dropzon operator portal (/agent or /office) for all package management
  • Keep your operator profile and location information accurate and up to date
  • Respond to Dropper pickup requests in a timely manner
  • Report any platform issues or bugs through the proper support channels

5. Earnings and Payouts

5.1 Per-Package Earnings

You earn a fee for each package successfully received and handed over to the verified recipient. Earning rates are set by Dropzon and displayed in your operator dashboard. We reserve the right to adjust earning rates with 30 days notice.

5.2 Payout Schedule

Earnings are accumulated in your operator account and paid out according to the payout schedule displayed in your dashboard. Payouts are made to the bank account or mobile money number you register on the platform. You are responsible for the accuracy of your payout details.

5.3 Taxes

You are solely responsible for any taxes, fees, or levies imposed by local, regional, or national authorities on your earnings from Dropzon. Hernatter Limited does not withhold taxes on your behalf unless required by law.

6. Branding and Signage

We may provide you with Dropzon branding materials (stickers, signs, digital assets). You agree to display them prominently at your location. You must not modify, alter, or create derivative works from our branding without written consent. All branding materials remain the property of Hernatter Limited and must be returned or destroyed upon termination of this Agreement.

7. Prohibited Activities

As a Dropzon operator, you must not:

  • Accept or hold items that are illegal, hazardous, or prohibited by law
  • Open, inspect, or tamper with sealed packages
  • Release packages without proper verification
  • Charge customers unauthorized fees
  • Use customer data for purposes unrelated to Dropzon services
  • Misrepresent your affiliation with Dropzon or claim to be an employee
  • Operate from a location different from the one registered on the platform
  • Accept packages for sending/posting (agents only - this is a Branch/Office function)

8. Liability and Insurance

8.1 Package Liability

You are responsible for packages from the moment they arrive at your location until they are handed to the verified recipient or collected by an authorized Dropper. If a package is lost, stolen, or damaged while in your custody due to negligence, you may be held liable for the declared value of the package.

8.2 Insurance

We recommend that you maintain appropriate business insurance covering theft, fire, and damage. Dropzon may offer optional coverage programs - details will be provided separately when available.

8.3 Indemnification

You agree to indemnify and hold harmless Hernatter Limited, its officers, employees, and partners from any claims, damages, or losses arising from your negligence, willful misconduct, or breach of this Agreement.

9. Data and Privacy

As an operator, you may have access to customer personal data (names, DZ# codes, phone numbers) solely for the purpose of package verification and handover. You must:

  • Keep all customer data strictly confidential
  • Never share, sell, or use customer data for non-Dropzon purposes
  • Delete or return any customer data upon termination of this Agreement
  • Comply with our Privacy Policy and all applicable data protection laws

10. Suspension and Termination

10.1 By Dropzon

We may suspend or terminate your operator status at any time for breach of this Agreement, repeated customer complaints, inactivity, or any other reason at our sole discretion. We will provide notice where practicable.

10.2 By Operator

You may terminate this Agreement by providing 30 days written notice. During the notice period, you must continue to fulfill your obligations for any packages currently held at your location. After termination, all packages must be transferred to a designated Dropzon location.

10.3 Effect of Termination

Upon termination, outstanding earnings will be paid out within 30 business days. All branding materials must be returned or removed. Your location will be deactivated on the platform and customers will be notified to select a new Dropzon.

11. Relationship of Parties

This Agreement does not create an employment, partnership, joint venture, or agency relationship. You are an independent operator. You are not authorized to make commitments or representations on behalf of Hernatter Limited.

12. Dispute Resolution

Any disputes arising from this Agreement shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to mediation in Dar es Salaam, Tanzania. If mediation fails, disputes shall be resolved in the courts of Dar es Salaam under the laws of the United Republic of Tanzania.

13. Amendments

We may amend this Agreement with 30 days notice sent to your registered email or via in-app notification. Continued operation after the amendment period constitutes acceptance of the updated terms. If you disagree with an amendment, you may terminate this Agreement as described in Section 10.
