Terms of Service

1. Agreement to Terms

By accessing or using Dropzon ("the Platform"), operated by Hernatter Limited ("we," "us," or "our"), a company registered in Dar es Salaam, Tanzania, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Platform.

These terms apply to all users of the Platform, including customers, agents (Dropzon operators), branch staff, droppers (delivery riders), and any other individuals or entities accessing the Platform.

2. Description of Service

Dropzon provides a digital address infrastructure and package pickup/delivery network. Our core services include:

• Assigning permanent DZ Addresses to subscribers at physical Dropzon locations
• Facilitating package receipt and pickup at Dropzon locations (agents and branches)
• Enabling door-to-door delivery through our Dropper network
• Providing international address forwarding through partner warehouses
• Offering APIs for third-party integration

Logistics, shipping, and fulfillment services are handled by our logistics partner, DoorDrop (doordrop.hernatter.com), a separate product of Hernatter Limited.

3. Account Registration

To use Dropzon services, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials. You must be at least 18 years of age to create an account.

You agree to notify us immediately of any unauthorized access to your account. We are not liable for any loss arising from unauthorized use of your account.

4. DZ Address and Subscriptions

4.1 Subscription Model

A DZ Address is obtained by subscribing to a pricing plan at a specific Dropzon location. Your subscription grants you a spot (address slot) at that location for the duration of your active billing cycle.

4.2 Spot Ownership

Your DZ Address spot is yours as long as your subscription remains active. You cannot transfer, sell, or sublicense your DZ Address to another person without our prior written consent.

4.3 Grace Period

When your subscription expires, you enter a 14-day grace period. During this time your spot is reserved and packages can still arrive. If you do not renew within 14 days, your spot is vacated and becomes available to new subscribers.

4.4 No Deletion

DZ Addresses cannot be "deleted." You may unsubscribe, which triggers the expiry and grace period process. Spot numbers may be recycled and reassigned to new subscribers after vacancy.

5. Package Handling

Packages received at a Dropzon location are held for the DZ Address holder. Verification (DZ# code, QR code, or OTP) is required before package handover. We are not liable for packages left unclaimed beyond the retention period.

5.1 Recovery Penalty

If a package arrives at a spot that has been reassigned to another subscriber, the original owner may claim the package by paying a recovery penalty fee of 10% of the declared package value, with a minimum of TZS 5,000 / USD $2.00.

6. Dropper Delivery

Droppers are independent gig workers, not employees of Hernatter Limited. While we facilitate delivery matching, we do not guarantee delivery times. Delivery fees are set by the Platform and displayed before confirmation.

7. Operator Obligations

If you operate a Dropzon location (agent or branch), additional terms apply under the Operator Agreement. As an operator, you agree to handle packages with care, verify recipient identity before handover, and comply with all applicable local laws.

8. Payments and Fees

Subscription fees, delivery fees, and other charges are displayed on the Platform before you confirm any transaction. All fees are in the local currency of the country where the Dropzon is located unless otherwise stated. We reserve the right to change pricing with reasonable notice.

9. Prohibited Conduct

You agree not to:

• Use the Platform for any illegal activity or to send prohibited items
• Provide false identity information or impersonate another person
• Attempt to gain unauthorized access to other accounts or systems
• Interfere with the proper functioning of the Platform
• Use the Platform to distribute malware, spam, or harmful content
• Resell or commercially exploit the Platform without authorization

10. Intellectual Property

The Dropzon name, logo, DZ Address system, DZ# code format, and all associated trademarks, designs, and technology are the property of Hernatter Limited. You may not copy, modify, or distribute any part of the Platform without our prior written consent.

11. API Usage

Access to Dropzon public APIs is subject to our API terms and rate limits. API keys must be kept confidential. We reserve the right to revoke API access for any user who violates these terms or engages in abusive usage patterns.

12. Limitation of Liability

To the maximum extent permitted by law, Hernatter Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.

13. Disclaimer of Warranties

The Platform is provided "as is" and "as available." We do not warrant that the Platform will be uninterrupted, error-free, or secure. We are not responsible for the actions of third-party logistics partners, agents, or droppers beyond our reasonable control.

14. Termination

We may suspend or terminate your account at any time if you violate these terms, engage in fraudulent activity, or for any other reason at our sole discretion. Upon termination, your right to use the Platform ceases immediately.

15. Governing Law

These terms are governed by the laws of the United Republic of Tanzania. Any disputes shall be resolved in the courts of Dar es Salaam, Tanzania, unless otherwise agreed in writing.

16. Changes to Terms

We may update these terms from time to time. We will notify registered users of material changes via email or in-app notification. Continued use of the Platform after changes constitutes acceptance of the updated terms.
